WATCHNIAN Membership Terms and Conditions

These Terms of Membership (hereinafter referred to as the ``Terms'') are related to the use or purchase of various services or products provided by WATCHNIAN Group Corporation (hereinafter referred to as the ``Company'') and our group companies. This applies to membership registration (hereinafter referred to as "main membership registration") performed by the customer.

Article 1 (Definition)

In this agreement, the following terms shall have the meanings set forth below.

(1) "Member" means an individual who has agreed to this agreement and registered as a main member by the prescribed method.

(2) “The Group” refers to WATCHNIAN Group Corporation and its group companies WATCHNIAN Corporation, Kaitori WATCHNIAN Corporation, and Ginzo Corporation, Ltd.

(3) "The Group Site" means the websites operated by each company belonging to the Group (including the "Site" defined below).

(4) "Group Services, etc." means products provided by the Group and various services provided by the Group at stores or on the Group site (including "Services" defined below).

(5) "Service provider" means a company that belongs to the Group and provides products or services that belong to the Group services, etc.

(6) "This site" means https://watchnian.com/.

Article 2 (Member)

  1. 1. 1. Members can use or purchase Group services, etc. (hereinafter referred to as "use, etc.") in accordance with the conditions set by each service provider. In addition, you may need to register separately in order to use our group services.
  2. 2. 2. Members may not assign, sublease, pledge or otherwise dispose of any rights acquired to the Group due to their status as a member or the use of Group services.

Article 3 (Registration procedure)

  1. 1. 1. Customers can apply for membership registration by agreeing to this agreement and providing the Company with the prescribed information (hereinafter referred to as "registration information") specified by the Group. Membership registration is completed when the Company receives the application for registration and notifies the customer that the registration is approved.
  2. 2. 2. The member registration procedure must be performed by the member himself / herself. Registration by proxy is not permitted at all. In addition, in any of the following cases, we may refuse the application for registration from other people who we judge to be unsuitable. We have no obligation to disclose the reasons for your refusal.
    1. (1) When there is a false statement, clerical error, or omission in all or part of the registration information provided to us.
    2. (2) If you are a minor, an adult guardian, a guardian, or an assistant, and you have not obtained the consent of a legal representative, guardian, guardian, or assistant.
    3. (3) Antisocial forces, etc. (meaning gangsters, gangsters, right-wing groups, antisocial forces, and other equivalent persons; the same shall apply hereinafter), or antisocial forces, etc. through funding and others. When the Company determines that it is engaged in some kind of exchange or involvement with antisocial forces such as cooperation or involvement in maintenance, operation or management.

Article 4 (Management of user ID and password)

The member himself / herself is responsible for managing the user ID and password, such as changing them regularly so that they will not be known to others. If it is confirmed by the prescribed method that the entered user ID and password match the registered ones, it is considered that the user has been used by the member, and a person other than the member due to theft, unauthorized use or other circumstances. Even if you use it, the Group will not be liable for any damage caused by it.

Article 5 (Change of registration information)

If there is a change in the registered registration information, please promptly register the change through the member page of this site or by following the method separately determined by the Company. The Group will not be liable for any damages caused by failure to register the change. In addition, even if the change registration is made, transactions that have already been processed before the change registration will be performed based on the information before the change registration. If it is necessary to notify the service provider of the changes in the registration information for such transactions, the member should contact the service provider directly.

Article 6 (Handling of personal information)

  1. 1. The Company obtains the following information regarding members (hereinafter referred to as "member information").

    • ・ Usage or purchase history of our group services and details of various transactions conducted by our group and members

    However, credit card information will be used only for the purposes specified in the next section.

  4. 4. On our group site, we use cookies or similar technologies ((advertising identifiers, web beacons, etc., hereinafter referred to as "cookies, etc."; hereinafter referred to as "cookies, etc.") to acquire the browsing history of your website. In addition, the Group obtains the browsing history of websites collected by cookies etc. from the data management platform operated by a third party and the analysis result, and links this with the personal data of the customer. After that, it may be used for the purpose of delivering advertisements.
  5. 5. In addition to the above items, we will handle member information in accordance with our privacy policy. For inquiries regarding personal information, please contact the contact point stated in the privacy policy.

Article 7 (Prohibited matters)

Members shall not perform any of the following acts. In the unlikely event that damage occurs to the Company or a third party in violation of this, the user shall be liable for all damages. When using this service, it is prohibited for members to perform any of the following acts.

  1. (1) Lending / transferring the user ID and password to a third party, or sharing it with a third party
  2. (2) Unauthorized use of a third party's user ID and password
  3. (3) The same person must register multiple members
  4. (4) Violation of the contract with the Group
  5. (5) When using the Group Services, etc., the Group violates the rules or various precautions stipulated for the Group Services, etc.
  6. (6) Use the content obtained through this service or our group service, etc. outside the scope of private use.
  7. (7) Damage to the rights, interests, honor, etc. of the Group and other third parties.
  8. (8) Acts that may adversely affect the mind and body of young people, and other acts that are offensive to public order and morals.
  9. (9) Performing acts that cause annoyance or discomfort to other users or other third parties.
  10. (10) Entering false information
  11. (11) Sending or writing harmful computer programs, emails, etc.
  12. (12) Unauthorized access to the Group's servers and other computers
  13. (13) Other acts that are reasonably recognized as inappropriate or inappropriate as a member

Article 8 (Cancellation of membership registration)

The Company may cancel the membership registration without prior notice or notification if the member falls under any of the following reasons.

  1. (1) If you violate any provision of this agreement
  2. (2) When it is found that any of the items of Article 3, Paragraph 2 or Article 7 is applicable
  3. (3) When payment is suspended or insolvent, or there is a petition for bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings.
  4. (4) If you have not used our group services for more than 5 years
  5. (5) In addition, when the Company determines that it is not appropriate to continue membership registration

Article 9 (Membership withdrawal)

If a member wishes to withdraw from the membership, the member himself / herself should follow the prescribed procedure through the member page of this site or according to the method separately determined by the Company. You will be withdrawn after completing the prescribed procedures.

Article 10 (Disclaimer)

  1. 1. 1. The Group site is operated independently by each service provider, and the Group services, etc. are provided independently by each service provider. Transactions conducted by the Group and members are conducted between the members and each service provider, and other companies of the Group are not responsible for such transactions. In the unlikely event that a problem occurs during a transaction, the member and each service provider will be required to resolve it in accordance with the contract with each service provider and the terms of use.
  2. 2. 2. Regarding the contents of our group services and the handling of personal information related to our group services, please contact each service provider directly, except for the handling of member information stipulated in Article 6.
  3. 3. 3. When the Company sends a notification to the email address specified by the customer, it will be deemed that the notification has been sent to the customer when the notification is sent. We will not be liable if the notification does not reach you due to an incorrect email address specified by you, a failure of your communication line or computer, or any other reason not attributable to us.
  4. 4. The Company shall not be liable for any damages caused by the customer's registration as a main member or failure to register as a main member, except as explicitly provided in this agreement or the company's agreement and others. I will not bear it. If the customer causes any damage to another customer or a third party by registering as a main member, the customer will resolve this at his / her responsibility and expense, and the Company will suffer any damage. No loss, disadvantage, etc. shall be given.

Article 12 (Exclusion of Anti-Social Forces)

You represent and warrant that you are not currently a member of an organized crime group, a member of an organized crime group, a person who has been a member of an organized crime group for less than five years, a quasi-member of an organized crime group, a company related to an organized crime group, a corporate racketeer, a swindler pretending to be a social activist, a special intelligence violent group, or any other person equivalent to these (hereinafter referred to as a "Member of an Organized Crime Group, etc."), and that you do not fall under any of the following items, and that you will not fall under any of the following items in the future.

(1) Having a relationship that is deemed to give the control of management to a member of a criminal organization or other such entity.
(2) Having a relationship that is deemed to give a substantial involvement of a gang member or other such person in the management of the company.
(3) Having a relationship that is deemed to be an inappropriate use of a member of a criminal organization, etc., for the purpose of obtaining wrongful benefits for oneself, one's company or a third party, or for the purpose of causing damage to a third party.
(4) Having a relationship that is deemed to be involved in providing funds, etc., or convenience, etc., to a member of an organized crime group.
(5) An officer or a person substantially involved in management has a relationship that can be socially criticized with a member of an organized crime group or the like.

2. You hereby promise not to engage in any of the following acts either by yourself or through a third party:

(1) Violent demands
(2) Unreasonable demands that go beyond legal responsibility
(3) Using threatening language or violence in relation to transactions
(4) Spreading rumors, using fraudulent means or using force to damage the other party's credibility or to interfere with the other party's business
(5) Any other conduct similar to those listed above.

3. If the Company finds that the Customer is a Member of an Organized Crime Group, etc., or falls under any of the items in Paragraph 1, or has engaged in any of the acts listed in the preceding paragraph, or has made a false statement with respect to the representations and warranties made pursuant to the provisions of Paragraph 1, the Company may cancel this Agreement without any notice to the Customer, regardless of whether or not there is a reason attributable to the Company.

4. In the event that this Agreement is terminated pursuant to the preceding paragraph, the Company confirms that it shall not be liable to compensate the Customer for any damages incurred as a result thereof, and the Customer acknowledges this.

Article 13 (Changes to these Terms)

  1. 1. 1. The Company may change this agreement if it becomes necessary to change this agreement due to changes in economic conditions, changes in socio-economic conditions, amendments to laws and regulations, or other circumstances.
  2. 2. 2. The Company shall be able to change all or part of this Agreement as appropriate in accordance with this Article without obtaining the prior consent of the customer only in the following cases.
    1. (1) When the change of this agreement is in the general interest of the user
    2. (2) When the change of this agreement does not violate the purpose of the contract and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, and other circumstances related to the change.
  3. 3. 3. When we change this agreement, we will notify you in advance by displaying the change, its contents and the effective date of the change on our website or by any other method that we deem appropriate.

Article 14 (Governing Law, Jurisdiction)

This agreement shall be construed based on Japanese law, and the Tokyo District Court shall be the exclusive agreement jurisdictional court of the first instance in the event of a need for proceedings regarding this agreement.
